1. Acceptance of Terms

By purchasing, downloading, installing, or using the WordSearchZ desktop software (the "Software"), you agree to be legally bound by these Terms of Service. If you do not agree, do not purchase or use the Software. We may update these Terms from time to time; the version in force at the time of your purchase governs that purchase.

Where you buy as a consumer, nothing in these Terms removes or limits rights granted to you by the mandatory law of your country of residence that cannot be waived by agreement. Those rights always prevail over any conflicting wording here.

2. License & Usage Restrictions

Upon purchase, Luxana Capital LLC grants you a Perpetual Lifetime License to install and use the Software on your compatible devices with no recurring subscription fees. This is a proprietary commercial product, and the following restrictions apply:

No Reverse Engineering: You may not decompile, disassemble, or attempt to derive the source code, except to the limited extent this restriction is prohibited by applicable law.
Non-Transferable: Your license is for your own personal or business use and may not be resold, shared, or redistributed.
Modification Prohibited: You may not modify, adapt, or create derivative works from the Software or its algorithms.
Lifetime Scope: "Lifetime" means the operational life of the WordSearchZ product and includes version updates released by Luxana Capital LLC for this software.

3. Ownership of Output

You retain full ownership and commercial rights to the puzzles and solution keys you export. Exported files are provided in vector SVG and high-resolution PDF formats, ready for professional publishing and commercial print-on-demand.

4. System Compatibility

WordSearchZ is a desktop application that runs only on:

Windows 10 and Windows 11 (64-bit); and
Linux (x86_64) — Ubuntu, Debian, Fedora, Arch, and compatible distributions.

WordSearchZ does not run on macOS, iOS, iPadOS, Android, Chromebooks, or mobile devices.

There is no Apple macOS build. Buying the Software for a Mac or other unsupported device is not a defect and does not entitle you to a refund. System requirements are published at wordsearchz.com/requirements, and you are responsible for confirming your computer meets them before purchase. At checkout you confirm your system is compatible and that macOS is not supported.

5. Payment

All transactions are processed securely via Stripe. We do not store or have access to your full payment-card details. Prices are shown in the currency displayed at checkout; where applicable, taxes such as EU/UK VAT are calculated and added at checkout and shown before you confirm. You are responsible for any bank or currency-conversion fees charged by your own provider.

6. EU/EEA Right of Withdrawal & Immediate-Access Consent

If you are a consumer in the EU/EEA (including Germany), you normally have 14 days to withdraw from a distance purchase without giving a reason, under the Consumer Rights Directive (2011/83/EU) and national law implementing it (in Germany, §§ 312g, 355, 356 BGB).

How immediate download affects this right

WordSearchZ is digital content delivered by immediate download. Under Article 16(m) of the Consumer Rights Directive (in Germany, § 356(5) BGB), your right of withdrawal ends once we begin supplying the download, provided you have expressly asked us to start immediately and acknowledged that you will lose the right of withdrawal by doing so.

Before payment you must check a box confirming that you request immediate access and understand you lose your 14-day right of withdrawal once access is provided. If you do not give that consent, do not complete the purchase. Once you have consented and the download has been made available, you are not entitled to withdraw and receive a refund simply for keeping or no longer wanting the Software.

If you have not yet accessed the download, or did not give the consent above, your right of withdrawal remains and you may exercise it by a clear statement to our contact address. You may use the model withdrawal form in Annex I(B) of the Consumer Rights Directive, but are not required to.

7. Refund Policy

Subject to your statutory rights in Section 8 and your withdrawal rights in Section 6, and because the Software is delivered digitally with immediate access and a lifetime license, purchases are final once access has been provided with your consent.

Technical support first: If the Software fails to launch or function on a supported system, contact us (see Section 12) and we will work to make it perform as advertised.
No change-of-mind refunds: Outside your statutory and withdrawal rights, we do not offer refunds, credits, or exchanges for change of mind, buyer's remorse, accidental purchase, or failure to use the Software.
Unsupported systems: We do not refund for incompatibility with devices or operating systems outside our published requirements, including macOS and mobile (see Section 4).
Local data: We do not refund for loss of word lists, settings, or other data stored locally on your machine.

8. Statutory Consumer Rights

If you are a consumer, you have legal guarantees that the Software will match its description and be fit for purpose. These rights exist independently of these Terms and cannot be waived or limited by this agreement. They arise under the EU Digital Content Directive (2019/770) and national law — in Germany, §§ 327 ff. BGB.

What this means

If the Software does not conform to what was advertised — for example, it will not run on a supported system, or a described feature is materially broken — you are entitled to have it brought into conformity (normally a fix or update). If we cannot do so within a reasonable time, you may be entitled to a proportionate price reduction or to end the contract for a refund, under the law of your country of residence. "All sales final" applies to change-of-mind requests, not to a genuine lack of conformity.

9. Data & Privacy

WordSearchZ is a local-first application. Your word lists and settings are stored on your own machine, and we do not collect or upload your puzzle content to our servers. Payment and order data are processed by Stripe and handled under our Privacy Policy, which also describes how we handle personal data under the EU GDPR.

10. Limitation of Liability

The Software is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Luxana Capital LLC is not liable for local data loss, lost profits, or incompatibility with third-party publishing platforms.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. For EU/EEA consumers (including under German law), this includes liability for intent and gross negligence and for breach of essential contractual obligations.

11. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Michigan shall have jurisdiction.

Consumer protection: If you are a consumer in the EU/EEA, this choice of law does not deprive you of the protection of the mandatory consumer rules of your country of habitual residence (Article 6, Rome I Regulation (EC) No 593/2008). You may also bring proceedings in, and rely on the mandatory law of, the country where you live; for consumers in Germany, mandatory German law applies regardless of the choice of law above. If you are a U.S. consumer, no statutory "cooling-off" period applies to online digital software, and purchases are final as described in Sections 6 and 7.
